Do you need a local director for a Fiji company?

Why a Fiji company needs a director who is ordinarily resident in Fiji, what the role involves, and your options as an overseas owner.

One of the first questions overseas investors ask is whether they need someone in Fiji on the board. For a company registered in Fiji, the answer is usually yes.

The requirement

Under the Companies Act 2015, a Fiji company must have at least one director who is ordinarily resident in Fiji. Public companies have stricter requirements. If all your directors live overseas, you need to appoint a resident director before the company can be registered.

What a local director does

  • Meets the legal requirement for registration and keeps the company compliant with the Registrar of Companies.
  • Signs documents that must be signed in Fiji, and deals with government agencies, banks and service providers locally.
  • Receives official correspondence and makes sure deadlines aren’t missed.

A local director has the same legal duties as any other director under the Companies Act. That’s why a professional local director will want clear agreements, good records and a say in compliance matters.

Your options

  • A trusted person in Fiji. A business partner, relative or senior employee who lives in Fiji.
  • A professional local director service. Firms like ours provide a resident director together with a registered office, so the company stays compliant while you run the business from overseas.
  • Move to Fiji yourself. Once you hold an investor permit and become ordinarily resident, you may meet the requirement yourself.

Things to agree up front

  • The scope of the role, and which decisions need the local director’s sign-off.
  • Fees and how long the arrangement lasts.
  • Access to bank statements and accounts so compliance can be monitored.
  • What happens if the director resigns or you want to change them.
